In-House Corporate Governance Counsel Associate Director

Mission

Reporting within the General Counsel group, this role will ensure the company's adherence to legal standards for Almirall and its affiliates, overseeing corporate governance practices, providing strategic legal counsel, and mitigating risks related to governance matters. It will also contribute to the development and implementation of governance policies whilst staying current with evolving legal regulations to guide the organization in maintaining high standards of corporate governance.

Tasks and responsibilities

  • Collaborate with the Chief Legal Officer and General Counsel, Legal Directors and other colleagues offering strategic legal advice and guidance on governance practices within the Spanish and European legal framework, including requirements and recommendations from the CNMV.
  • Advise and support in the preparation of the executive leadership team, board of directors and commission meetings, as well as annual shareholders meetings.
  • Lead the incorporation and maintenance of legal entities in Spain, Europe and, eventually, in the United States, managing directly and coordinating external counsels in all aspects of corporate filings and compliance within the local legal context ensuring seamless transitions.
  • Lead the drafting and review of bylaws and other critical legal documents, ensuring precision and strict compliance with the applicable regulations.
  • Lead the strategic development, implementation and periodic review of corporate governance policies, in compliance with applicable laws, regulations and the company’s code of ethics throughout their life cycle.
  • Oversee investors relations processes, ensuring adherence to Spanish regulatory requirements and facilitating communication with stakeholders for strategic engagement on governance related matters.
  • Strategically collaborate with cross-functional teams on finance projects, providing legal insights and implementing key risk management strategies.
  • Conduct legal research to stay current on evolving corporate governance laws in Spain, other European countries, and the pharmaceutical industry best practices. Share the acquired knowledge to increase organizational awareness of corporate governance and legal obligations.

Academic background

  • University and master’s degrees in Law and bar membership in Spain.

Specific knowledge

  • In-depth knowledge of Spanish and EU corporate laws and regulations.
  • Fluent level of English and Spanish both oral and written with the capacity to communicate with conviction and self-confidence.
  • Other languages are a plus.

Working experience

  • Minimum 10 years of legal experience on corporate governance in positions of increased responsibility within the Spanish legal system.
